Astra Tech Support (Astra Technologies LLC) Terms and Conditions

  1. Introduction
    Welcome to Astra Technologies LLC. These Terms and Conditions ("Terms") govern the provision of services by Astra Technologies LLC ("Astra," "we," "us," or "our") to our customers ("you" or "your"). By signing these Terms, you agree to comply with and be bound by the following provisions. These Terms and Conditions are effective as of 8/27/2024.

  2. Services Provided
    Astra offers a variety of IT and tech support services, including but not limited to computer support, virus removal, computer tune-ups, data backup/transfer, software installation, Wi-Fi troubleshooting, cybersecurity services, and business IT consulting. Services are available a la carte or through membership packages.

  3. Payment Terms

    • Credit/Debit Card Holds: By signing these Terms, you authorize Astra to place a hold on your credit or debit card prior to the completion of any service. The hold amount will be equivalent to the estimated cost of the service.

    • Authorization of Recurring Payments for Members: If you opt for a membership package, you authorize Astra to automatically charge your credit or debit card on a recurring basis (monthly or annually, depending on your chosen membership) for the agreed-upon membership fee.

    • Card on File: Astra reserves the right to securely store your credit/debit card information on file for future transactions, including service fees, recurring payments, and cancellation fees.

  4. Cancellation and Termination Policy

    • One-Time Services: You may cancel a one-time service appointment up to 24 hours before the scheduled service time for a full refund. If you cancel within 24 hours, a cancellation fee of 50% of the service cost will apply.

    • Membership Services: You may cancel your membership with 30 days' written notice. Cancellation will be effective at the end of the current billing cycle. No refunds will be issued for partial months. Astra reserves the right to charge a prorated fee if services have been rendered beyond the cancellation date.

    • Astra’s Right to Terminate: Astra reserves the right to terminate services or membership at any time, particularly in cases of non-payment, breach of these Terms, or misuse of services. In such cases, all outstanding fees will become immediately due.

  5. Work Guarantee
    Astra guarantees that you will only be charged for a la carte services if we are able to complete the work or make significant progress towards resolution. If a service cannot be completed, Astra will not charge for that service, and any card holds related to the service will be released.

  6. Confidentiality and Non-Disclosure

    • Client Information: Astra agrees to protect your personal and business information, including account details, financial records, and technical data. This information will not be disclosed to third parties without your explicit consent, except as required by law.

  7. Limitation of Liability

    • Maximum Protection: To the fullest extent permitted by law, Astra Technologies LLC shall not be liable for any damages, losses, or liabilities of any kind arising from the use of our services, including but not limited to direct, indirect, incidental, punitive, and consequential damages, loss of data, business interruption, or loss of profits, even if Astra has been advised of the possibility of such damages.

    • Client Responsibility for Data: You are solely responsible for backing up your data before receiving any service from Astra. Astra shall not be held liable for any loss, corruption, or misplacement of data that may occur during the provision of services. While we will take reasonable steps to protect your data, the ultimate responsibility lies with you.

    • No Warranty: Astra makes no warranties, express or implied, regarding the services provided, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. All services are provided "as is" and "as available."

  8. Indemnification
    You agree to indemnify and hold Astra Technologies LLC harmless from any claims, damages, losses, or expenses (including legal fees) arising from your misuse of our services, violation of these Terms, or infringement of any third-party rights.

  9. Intellectual Property Rights

    • Ownership: All intellectual property developed by Astra, including custom software, documentation, and training materials, remains the property of Astra Technologies LLC.

    • License to Use: You are granted a non-exclusive, non-transferable license to use Astra’s intellectual property solely for your internal purposes. Redistribution, resale, or sharing of Astra’s intellectual property without our written consent is prohibited.

  10. Employee Non-Solicitation
    You agree not to solicit or hire any Astra employee or contractor for services outside of their work with Astra Technologies LLC during their employment or contract term and for a period of 12 months thereafter. Violation of this clause will result in legal action and compensation for damages.

  11. Governing Law and Jurisdiction
    These Terms are governed by the laws of the State of Arizona. Any disputes arising under or related to these Terms shall be resolved in the courts of Yavapai County, Arizona.

  12. Privacy Policy
    Astra Technologies LLC is committed to protecting your privacy. We collect, use, and store your data only for the purpose of delivering services and improving your customer experience. We employ industry-standard security measures to protect your data and will not share it with third parties without your consent, except as required by law.

  13. Amendments and Modifications
    Astra reserves the right to amend these Terms at any time. Any changes will be communicated to you via email at least 30 days before they take effect. Your continued use of our services after the effective date of the amendments constitutes your acceptance of the updated Terms.

  14. Client Onboarding
    New clients must agree to these Terms and provide a valid credit or debit card for recurring payments (if applicable) before services are rendered. Astra offers a free consultation of up to 30 minutes to assess your needs and introduce our services.

  15. Customer Support
    Astra strives to build personal relationships with our clients. Over time, as our team grows, specific representatives may be assigned to particular customers to maintain consistent support. Clients can reach out for support via our designated customer service channels.

  16. Record Keeping and Documentation
    Astra will maintain records of all client interactions, contracts, and service activities. These records will be stored securely and may be accessed by clients through a client portal (if available) or upon request.

  17. Feedback and Improvement
    We value your feedback and encourage you to share your experience with us. After each service, you may receive a follow-up email with a survey or request for a review. Your input helps us improve our services.

  18. Entire Agreement
    These Terms constitute the entire agreement between you and Astra Technologies LLC and supersede any prior agreements or understandings, whether written or oral.
